Wisp — Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Poblado Labs Ltd, a company registered in England and Wales (company number 16089775) with its registered office at 13 Bolingbroke Grove, London SW11 6ER, United Kingdom, trading as "Wisp" ("Wisp", "we", "us", or "our").
They cover your use of the Wisp mobile app, our website, and the related services we provide (together, the "Service"). Please read them carefully. By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.
We know it's tempting to skip terms like these, but they explain what you can expect from us and what we ask of you — so they're worth a few minutes.
1. What Wisp is — and what it isn't
Wisp is a checkout-convenience service. It securely stores the details you choose to save — such as your name, contact details, delivery address, saved payment method, loyalty cards, and favourites — so that when you shop with a participating merchant, checkout is fast and you don't have to re-enter everything. Wisp also lets you do things like share a shopping cart with someone else and carry your loyalty cards in one place.
Please understand clearly what Wisp is not:
- Wisp is not a bank, payment institution, e-money issuer, or money transmitter.
- Wisp does not process, hold, receive, or move your money. We are not a party to the payment itself.
- When you buy something, your payment is processed by the payment service provider ("PSP") that the merchant has already contracted with — not by Wisp. Wisp's role is limited to passing your saved checkout details to that merchant and/or its PSP so the merchant can complete your order.
- Wisp does not store your full card number. Card details are tokenised and secured by our provider, VGS (Very Good Security). Wisp holds only a token (a secure reference), never your raw card data.
Your purchase is a contract between you and the merchant. See Section 6.
2. Who can use Wisp
You must be at least 13 years old to use the Service.
If you are under 18, you may only use the Service with the permission of a parent or legal guardian, who must read and agree to these Terms with you. If you are a parent or guardian who lets a child use the Service, these Terms apply to you and you are responsible for your child's activity, including any purchases they make with participating merchants.
By using the Service you confirm that you meet these requirements and that the information you give us is accurate.
3. Your Wisp account
To use most features you'll create a Wisp account. You agree to:
- provide accurate, current, and complete information and keep it up to date;
- keep your login credentials and device secure and confidential; and
- take reasonable steps to protect your account, and tell us promptly at info@pobladolabs.co.uk if you think it has been used without your permission.
You are responsible for activity that happens under your account, except to the extent it results from our failure to keep the Service secure. You can close your account at any time (see Section 12).
4. How Wisp works
- Saved details & autofill. You choose what to save. When you check out with a participating merchant, Wisp supplies your saved details to speed up the process.
- Payments. The merchant's PSP handles the actual payment. Your card is represented to Wisp as a secure token via VGS.
- Share your cart. You can share a cart with another person. Only share with people you trust; anyone you share with may be able to see the items and details in that cart.
- Loyalty & favourites. You can store loyalty cards and set favourites so they travel with you between merchants.
We are always improving the Service, so features may be added, changed, or removed over time (see Section 12).
5. Fees
The Wisp Service is free for you as a consumer. Merchants may pay us to offer Wisp at their checkout, but that does not cost you anything. Your mobile network or internet provider may charge you for data used by the app — those charges are your responsibility.
If we ever introduce optional paid features for consumers, we'll make the price and terms clear before you sign up, and you'll never be charged for something without agreeing to it first.
6. Payments, merchants, orders, refunds and disputes
Because Wisp does not sell you the goods or services and does not process the payment:
- Your order and your payment are between you and the merchant (and the merchant's PSP).
- The merchant is responsible for the goods or services, pricing, taxes, delivery, returns, refunds, cancellations, and customer support for your order.
- If something goes wrong with an order or a payment — a wrong charge, a refund, a faulty item, a delivery problem — you should raise it with the merchant (or, for a payment issue, with the merchant's PSP or your card issuer/bank). Wisp cannot issue refunds, reverse charges, or resolve order disputes, because Wisp never holds your money.
- We'll help where we reasonably can — for example, by pointing you to the right merchant or correcting information we hold — but we are not responsible for a merchant's acts or omissions.
Nothing in this section affects your statutory rights against a merchant under applicable consumer law.
7. Using the Service responsibly
We want to keep Wisp safe and reliable for everyone. When using the Service, you agree not to:
- break the law, or use the Service for anything fraudulent, deceptive, or harmful;
- use someone else's payment details, identity, or account without permission;
- interfere with, disrupt, or try to gain unauthorised access to the Service, our systems, or our security measures (for example by introducing malware, hacking, or scraping);
- reverse engineer, decompile, or attempt to extract source code from the Service, except to the limited extent the law allows;
- copy, modify, distribute, sell, or lease any part of the Service; or
- misuse the cart-sharing or other features to harass, defraud, or harm others.
If you break these rules we may take the actions described in Section 12.
8. Your information and the permission you give us
You keep any rights you have in the information and content you provide. To run the Service, you give us permission to host, store, process, transmit, and display that information for the limited purpose of operating, securing, and improving the Service — for example, storing your saved details and passing them to a merchant or its PSP so you can check out.
How we collect and use your personal data — and your rights over it — is explained in our Privacy Policy, which forms part of these Terms.
If you give us feedback or suggestions, we may use them to improve the Service without any obligation to you.
9. Third-party services
The Service works with third parties, including merchants, their PSPs, our tokenisation provider VGS (Very Good Security), and the app store you downloaded the app from. Your use of those third parties may be subject to their own terms and privacy policies. We are not responsible for third-party services we don't control, but we choose our providers with care and require our own service providers to protect your information.
10. Our content and brand
The Service, including its software, design, text, graphics, the "Wisp" name, logo, and other branding, belongs to Wisp or our licensors and is protected by intellectual property laws. We give you a personal, limited, non-exclusive, non-transferable, revocable licence to use the app on a device you own or control, solely to use the Service as intended. Don't remove or alter our logos or legal notices, and don't use our branding without our permission.
11. Downloading from an app store (Google Play and others)
You may download the Wisp app from an app store such as Google Play. When you do:
- Your use of the app is also subject to that app store's terms (for example, the Google Play Terms of Service).
- The app is licensed, not sold, to you.
- The app store provider is not a party to these Terms and is not responsible for the app or its content, and has no obligation to provide support or maintenance for it. Any questions or claims about the app should be directed to us at info@pobladolabs.co.uk, not the app store.
- You confirm you are not located in a country subject to a relevant government embargo, and are not on a relevant restricted-parties list, where doing so would make your use unlawful.
The Wisp app does not sell digital goods or subscriptions inside the app, so in-app billing does not apply.
12. Changes, suspension, and ending your access
Changes to the Service. We may add, change, or remove features, and we may update the app (sometimes automatically). If we make a material change that significantly and negatively affects you, we'll give you reasonable notice where we can, except in urgent situations (such as security, legal, or abuse issues).
Suspending or ending your access. We may suspend or end your access to the Service, or close your account, if you materially or repeatedly break these Terms, if we're required to by law, or if we reasonably believe your use causes harm or legal risk to you, other users, merchants, or us. Where reasonable and lawful, we'll give you notice and a chance to put things right first.
Ending it yourself. You can stop using the Service and close your Wisp account at any time.
13. Warranties and disclaimers
We provide the Service with reasonable skill and care. Beyond that, and except for any rights you have under law that can't be excluded, the Service is provided "as is": we don't promise it will always be available, uninterrupted, or error-free, or that it will meet every need you have.
Wisp does not provide financial, legal, tax, or other professional advice, and you should not rely on the Service for that.
14. Our responsibility to you (liability)
Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be limited or excluded under applicable law — including your statutory rights as a consumer (for example, under the Consumer Rights Act 2015).
Subject to that:
- We are responsible for loss or damage you suffer that is a foreseeable result of our breaking these Terms or failing to use reasonable skill and care. We are not responsible for loss or damage that is not foreseeable.
- We are not responsible for the acts or omissions of merchants or their PSPs, for the goods or services you buy, for payment processing, refunds, or chargebacks, or for loss caused by your failure to keep your account or device secure.
- We supply the Service for domestic and private use. If you use it for any commercial or business purpose, we have no liability to you for loss of profit, loss of business, business interruption, or loss of business opportunity.
15. Changes to these Terms
We may update these Terms from time to time — for example to reflect changes to the Service or for legal, regulatory, or security reasons. If we make material changes, we'll give you reasonable notice (for example, in the app or by email) and, where required, ask you to agree before you keep using the Service. The "Effective date" at the top shows when the current version took effect. If you don't agree to an update, you should stop using the Service and close your account.
16. General
- Governing law. These Terms are governed by the laws of England and Wales. If you are a consumer, you may bring proceedings in the courts of England and Wales, and you also keep the benefit of any mandatory protections and the right to bring proceedings in the country where you live if the law there gives you that right.
- Severability. If any part of these Terms is found to be invalid or unenforceable, the rest continues to apply.
- No waiver. If we don't enforce a right straight away, we can still enforce it later.
- Assignment. You may not transfer your rights or obligations under these Terms without our consent. We may transfer ours to a company that takes over our business, as long as it doesn't reduce your rights.
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about the Service.
